Dubai Basketball Club Terms of Use

1. Acceptance of Terms

By accessing or using Dubai Basketball Club’s services (the “Services”), including the mobile app and website, you agree to be bound by these Terms of Use (the “Terms”). If you do not agree, you must not access or use the Services.

By creating an account, clicking “Accept,” or otherwise using the Services, you also acknowledge our Privacy Policy and consent to processing as described therein, consistent with the UAE PDPL, DIFC/ADGM frameworks, and, where applicable, the EU GDPR. Nothing in these Terms limits any mandatory consumer or data-protection rights you hold under applicable law.

2. Definitions

• “User”: Any individual or entity using the Services.
• “Content”: Any text, images, videos, messages, or other materials uploaded, posted, or transmitted through the Services.
• “Account”: The registered profile created by the User to access and use the Services.
• “Club”, “we”, “us” or “our”: Dubai Basketball Club and its affiliates providing the Services.
• “Virtual Items”: any digital or virtual goods, credits, points, or badges made available in the Services.
• “Community Guidelines”: rules of conduct published in-app that form part of these Terms.

3. Changes to Terms

We may revise these Terms from time to time. Material changes will be notified via email or through the app/website. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

Where required by law, we will request your renewed consent for changes that materially affect your rights. If you do not accept updated Terms, you must discontinue use and may request account deletion.

4. Eligibility & Account Registration

You must be at least 18 years old to register, unless otherwise permitted by applicable local law. If you are under the age of majority, you must have parental or legal guardian consent. You agree to provide and maintain accurate, current, and complete registration information. We reserve the right to suspend or deny access if fraudulent, illegal, or suspicious activity is detected.

To align with our Privacy Policy, registration is not permitted for users under 16 years of age. Users aged 16–17 may use the Services only with verifiable consent of a parent or legal guardian where required by law.

You must not create an account on behalf of someone else without proper legal authority, and you must not misrepresent your identity, age, or affiliation.

5. Account Security & Access

You are responsible for all activity that occurs under your Account. You agree to keep your password confidential and to notify us immediately of any unauthorized use.

We may disable or restrict accounts due to inactivity, suspected breaches, or security threats. We may require multi-factor authentication and may place reasonable limits on log-ins, sessions, and device connections to protect the Services.

If you use single sign-on (e.g., Apple/Google/Facebook), you authorize us to receive the account information those providers share under their terms.

6. Use of the Services — License Grant & Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use.

You must not:

• Reverse engineer, decompile, or attempt to extract source code.
• Use the Services to distribute malware, commit unlawful acts, or infringe third-party rights.
• Interfere with the proper functioning or security of the Services (e.g., via scraping, DDoS attacks, or automated bots), unless expressly permitted in writing.
• Commercialize, sell, rent, lease, sublicense, or otherwise exploit the Services or Virtual Items except as expressly allowed.
• Upload defamatory, harassing, hateful, obscene, or otherwise unlawful content.
• Collect information about other users except as they expressly permit through the Services.

Any permitted APIs or developer tools are subject to separate terms and rate limits; automated access outside those terms is prohibited. We may deploy anti-cheat, rate-limit, and other technical measures to preserve integrity and fair use.

7. User Content — Ownership & License Grant

You retain ownership of any Content you upload or share through the Services.

By submitting Content, you grant Dubai Basketball Club a worldwide, royalty-free, transferable, sublicensable, non-exclusive license to:

• Host, store, reproduce, modify, adapt, publish, translate, distribute, publicly display, and perform the Content
• Use the Content to operate, improve, and promote the Services

You warrant that:

• You own or have the legal right to upload the Content
• Your Content does not violate any laws or third-party rights

The license we request is solely for operating, developing, providing, and promoting the Services, including displaying your Content to other users consistent with your settings. We do not claim ownership of your Content, and we will not sell your personal data in connection with this license.

You grant us a perpetual license to non-confidential feedback you provide (ideas, suggestions) to use without restriction or compensation. To the extent permitted by law, you waive any moral rights you may have in the Content against us and our sublicensees for the limited purposes above.

8. Moderation, Reporting & Removal of Content

We reserve the right to remove or restrict access to Content that violates these Terms or is otherwise unlawful. We may suspend or terminate accounts at our discretion based on conduct or violations.

Users may report inappropriate or illegal content via in-app tools or by contacting [email protected]. Reports will be reviewed and acted upon per our Community Guidelines.

We are not obligated to monitor all Content but may do so to enforce these Terms, comply with law, or protect users. We may preserve Content and account information when we reasonably believe it is required for legal, compliance, or safety purposes.

Where feasible, we will offer a simple appeal mechanism for moderation decisions and will consider context, intent, and local law. Repeat infringers may be permanently banned.

9. Payments, Subscriptions & Refunds

If the Services include paid features:

• Pricing, billing cycles, and accepted payment methods will be displayed in-app.
• All payments are non-refundable except as expressly stated in these Terms or required by law.
• Subscriptions will auto-renew unless cancelled before the renewal date.

Charges may include taxes, fees, exchange costs, and amounts charged by app stores or payment processors; you authorize us or our processor to charge your chosen method for recurring subscriptions until you cancel.

We may change prices upon prior notice; changes take effect at the next billing cycle. If you do not agree, you must cancel before renewal.

Trials and promotions convert to paid plans unless cancelled before the trial ends; eligibility limits may apply.

If you purchase through Apple App Store or Google Play, their terms govern billing, refunds, and cancellations; you may need to manage or cancel within your store account.

To the extent required by law (e.g., certain EU consumer rules for digital content), you may have a cooling-off right. Where you request immediate access to paid digital content, you acknowledge and agree that your right of withdrawal may be waived once delivery has begun.

We may suspend or terminate access for chargebacks, payment disputes, or suspected fraud, and we may offset amounts you owe against credits in your account where lawful.

10. Intellectual Property & IP Complaints

All intellectual property rights in the Services—including software, trademarks, and branding—are owned by Dubai Basketball Club or its licensors.

For IP infringement complaints, send a written notice containing:

• Identification of the copyrighted work
• URL or location of the allegedly infringing material
• Your contact information
• A good-faith statement of belief
• A signature (electronic or physical)

If operating in the U.S., include DMCA Agent details. If outside, refer to the relevant local IP laws.

We maintain a repeat-infringer policy and may remove content or suspend accounts accordingly. Where applicable, we accept counter-notifications and may restore content unless court proceedings are initiated.

You may not use our names, logos, or marks without prior written consent; any permitted fan use must be non-commercial and consistent with our brand guidelines.

11. Third-Party Links & Services

The Services may contain links or integrations with third-party websites, apps, or services. We are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk.

Single sign-on, analytics SDKs, advertising, payment processing, maps, or streaming tools are operated by third parties under their own terms and privacy notices; we do not control how they process your data once you leave our environment.

12. Disclaimers & No Warranties

The Services are provided “as is” and “as available”, without any warranties, express or implied.

We disclaim all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Continuity or error-free operation

To the maximum extent permitted by law, we do not guarantee the Services will be secure, reliable, or meet your expectations.

Some jurisdictions do not allow the exclusion of certain warranties; in those places, the exclusions apply only to the extent permitted by law and do not affect your statutory rights.

13. Limitation of Liability

To the fullest extent allowed by law, Dubai Basketball Club and its officers, directors, employees, and agents will not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or goodwill
• Any amount exceeding the total fees you paid in the 12 months before the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

If you access the Services free of charge, our total liability is limited to USD 50 (or the minimum amount mandated by law).

These limitations reflect a reasonable allocation of risk essential to providing the Services at current prices.

14. Indemnification

You agree to indemnify, defend, and hold harmless Dubai Basketball Club, its affiliates, and their officers, directors, and employees from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your breach of these Terms
• Your Content
• Your use of the Services

Our right to indemnification includes claims alleging infringement of IP or privacy rights, defamation, violation of law, or misuse of the Services by you. We will promptly notify you of any claim and retain the right to assume control of the defense; you will not settle any claim without our prior written consent when a settlement imposes obligations on us.

15. Termination & Suspension

We may suspend or terminate your access to the Services at any time, including if you violate these Terms or applicable laws.

Upon termination:

• Your license to use the Services ends immediately
• We may delete your Content, except as required by law or as described in our Privacy Policy
• We may also suspend or restrict features to address security risks, fraud, or abuse, or to comply with legal requests. Where feasible, we will notify you before termination and explain the reasons and any steps to remedy.

You may terminate at any time by deleting your account. Termination does not entitle you to refunds except where required by law or expressly stated.

16. Data Retention on Termination

We may retain certain data after account termination for:

• Legal compliance
• Fraud prevention
• Dispute resolution
• Enforcement of our policies

Retention periods will follow applicable laws and are described in our Privacy Policy.

Before deletion, you may request a portable copy of certain data, subject to legal and technical limits. Backup copies may persist for a limited period and will be destroyed on a rolling schedule.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. All disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

To the extent permitted by law, these Terms are governed by the laws of the UAE. Disputes will be resolved first through good-faith negotiations within thirty (30) days of written notice. If unresolved, disputes shall be finally settled by arbitration administered by DIAC under its Rules, seat Dubai, UAE, language English; judgment on the award may be entered in any court of competent jurisdiction.

Nothing prevents either party from seeking injunctive relief for urgent matters.

18. Miscellaneous

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Dubai Basketball Club.

Severability: If any provision is found unenforceable, the rest remain in effect.

Waiver: Failure to enforce any part of these Terms is not a waiver.

Notices: We may send notices to the email you provided.

Contact: Legal notices may be sent to [email protected] — include “LEGAL NOTICE” in the subject line.

Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign without our prior written consent.

Force Majeure: We are not liable for delays or failures caused by events beyond reasonable control, including outages, strikes, acts of God, or government actions.

Export & Sanctions: You represent that you are not located in, and will not use the Services from, embargoed countries or prohibited lists; you will comply with applicable export-control and sanctions laws.

App Stores: If you downloaded via Apple or Google, their terms (including in-app purchase, subscription, and refund rules) apply in addition to these Terms; in case of conflict, mandatory store rules prevail for store-processed transactions. Apple and Google are not responsible for providing maintenance or support for the Services.

Open-Source & Third-Party Licenses: Certain features may include open-source components; corresponding licenses are incorporated by reference and prevail for those components.

Beta & Experimental Features: We may offer pre-release features “as-is” for testing; we may change or discontinue them at any time.

Language: These Terms are provided in English. If translated, the English version prevails in case of conflict, except where local law mandates otherwise.
